2004 Annual Meeting of Shareholders

Shareholders of Uwharrie
Capital Corp learned about their company’s development
and future plans during the Company’s Annual Meeting
of Shareholders Tuesday night, May 4, 2004. Over 800 people
attended the meeting held at the Stanly County Agri-Civic
Center.
During the 4:00 p.m. legal meeting, shareholders
approved two proposals of business including the election
of six directors to serve three-year terms and ratification
of appointment of Dixon Hughes PLLC as the 2004 independent
accountants.

Newly-elected to the Uwharrie Capital Corp
Board of Directors were Bob Barbee, Retired Chairman, President
and Chief Executive Officer of Pneumafil Group of Charlotte
and current partner of Oakboro Main Street Development, LLC
and Main Street Properties, LLC, Tom Hearne, Jr., Pavement
Analysis Engineer, North Carolina Department of Transportation
of Albemarle, Tim Propst, Executive Vice President, Propst
Construction Co., Inc. of Concord, Don Scarborough, President,
Treasurer and Owner of Plank Road Realty, Inc., of Wadesboro,
and Rusty Shealy, Jr., President, Cabarrus Concrete Co.,
of Concord. Current director, Hugh Wallace, President, Anson
Apparel Company of Wadesboro, was re-elected for another
term. The six directors were elected to serve three-year
terms.
Roger Dick, Uwharrie Capital Corp Chief
Executive Officer, gave a report from management regarding
the company’s development and future plans. “For
the people, by the people, … a great bank was founded.
Beginning as Bank
of Stanly in Stanly County twenty years ago, our company
has now partnered with our friends and neighbors in Anson and Cabarrus counties.
We all desire control over our future quality of life. We
understand the capital creating ability our local banks have
to create new community wealth.
Communities must have control of their
money resources in order to control their future. Equally
important to the community is economic literacy. By actively
participating in our future, Uwharrie Capital Corp is empowering
people … people working together with a common mission
and a shared set of values are making a difference. We will
continue to measure our success by how much we contribute
to the quality of life and economic well-being of our communities,” Mr.
Dick stated.
Chair John Murray, M.D. recognized retiring
directors Bill Burnside, D. D. S., Bill Burnside Dentistry
of Albemarle, Gail Burris, Owner and Manager of Rosebriar
Restaurant of Albemarle, David Jones, D.V.M., Director of
North Carolina Zoological Park in Asheboro, and Buren Mullis,
Retired Vice President and General Manager of SunDrop Bottling
Co., Inc. of Concord, all of whom had served since 1998.
Also, Board Chair John Murray, retired physician and owner
of Albemarle Ear, Nose & Throat of Albemarle, who has
served since 1996 retired from the Board of Directors.
A buffet dinner and time of fellowship
was followed by a Community Meeting, celebrating a spirit
of community and presenting special recognitions to individuals
making a difference in the lives of others. Boy Scout Troop
82 and Girl Scout Troop 2142 presented the colors, and the
North Stanly High School Senior Ensemble sang the National
Anthem. Shareholders enjoyed entertainment by choral students
from Anson High School and Mt. Pleasant High School.
Recognitions of teachers of the year from
Anson, Cabarrus and Stanly counties were presented by Chairmen
of the Subsidiary Banks’ Boards of Directors, Emmett
Patterson of Anson Bank & Trust Co., Alex Rankin, Cabarrus
Bank & Trust Company, and Mark Mabry of Bank of Stanly.
Honored were Mary Ratliffe as Anson County’s Teacher
of the Year, Lenora Barron as Cabarrus County’s Teacher
of the Year, and John Thompson, Jr. as Stanly County’s
Teacher of the Year.
Additionally, the company honored an outstanding
business honoree from Anson, Cabarrus and Stanly counties.
Presidents and Chief Executive Officers Jim Strayhorn of
Anson Bank & Trust Co., Sanjay Mistry of Cabarrus Bank & Trust
Company, and Bill Lawhon of Bank of Stanly presented awards
to Richard Allen of Allen’s Professional Investigations,
Inc. of Wadesboro, Phil Tesh and Gray Troxler of Tesh-Troxler
Landscape & Designs, Inc. of Concord, and P. J., Mike,
and Mitch Laton of Custom Doors, Inc. of Albemarle.

Closing comments and recognition of Ron
Davis, retired President of Uwharrie Capital Corp, were made
by Roger Dick. Mr. Davis was presented a plaque of recognition
for his service with the company since 1997. He is now dedicating
his time to Umbono, a non-profit organization that is working
to revitalize African villages’ economies and care
for those affected by disease.
At a brief meeting of the Uwharrie Capital
Corp Board of Directors following the Annual Meeting, Cindy
Beane was elected Chair of the Board, and Jim Nance was elected
Vice Chair for 2004 - 2005.
